Terms of Service

1. Agreement to Terms

MKTS DATA LLC, doing business as “TickersData” (d/b/a “TickersData”) (“Company,” “we,” “us,” or “our”) provides financial data, market information, and analytics services through our platform and APIs. By accessing or using our services, you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind such entity; in that case, “you” and “your” refer to that entity.

2. Description of Services

TickersData provides (collectively, the “Services”):

  • Real-time and historical financial market data
  • Market analytics and insights
  • Application Programming Interfaces (APIs)
  • Web-based data visualization tools
  • Related software and services

We may modify or discontinue features from time to time. Material changes will be communicated with reasonable advance notice when practicable.

3. User Accounts and Registration

3.1 Account Creation

  • You must provide accurate, current, and complete information
  • You are responsible for maintaining the confidentiality of your account
  • You must be at least 18 years old to create an account
  • One person or entity may not maintain multiple accounts

3.2 Account Security

  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized use
  • We are not liable for losses due to unauthorized account use

3.3 Eligibility; Corporate Use

  • You represent that you are at least 18 years old and have capacity to contract.
  • If you use the Services on behalf of an entity, you represent you have authority to bind that entity, and your entity remains responsible for your users’ compliance.

4. Acceptable Use Policy

4.1 Permitted Uses

  • Use data for legitimate business or research purposes
  • Comply with all applicable laws and regulations
  • Respect rate limits and usage restrictions
  • Maintain appropriate data security measures

4.2 Prohibited Uses

You may not:

  • Redistribute, resell, or sublicense our data without written permission
  • Use our services for illegal activities
  • Attempt to reverse engineer our systems
  • Interfere with or disrupt our services
  • Use automated systems to access our services beyond permitted limits
  • Violate any applicable laws or regulations
  • Remove or obscure proprietary notices, or use the Services to create a competing dataset or service
  • Circumvent technical controls, rate limits, or access restrictions

5. Data and Intellectual Property

5.1 Our Data

  • All data, software, and content remain our property
  • You receive a limited, non-exclusive license to use data as permitted
  • You may not claim ownership of our data or intellectual property

Your license is non-transferable, non-sublicensable, and revocable, and is conditioned on compliance with these Terms and any plan or documentation limits (including rate limits, symbol coverage, geographies, and redistribution restrictions). Except for the limited license expressly granted, no rights are granted by implication.

5.2 Your Data

  • You retain ownership of data you provide to us
  • You grant us necessary licenses to provide our services
  • We may use anonymized data to improve our services

You represent you have all rights necessary to submit Your Data and that Your Data does not infringe or violate law or third-party rights. You authorize us to process Your Data as described in our Privacy Policy.

5.3 Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit the feedback without restriction.

6. Payment Terms

6.1 Fees and Billing

  • Fees are charged according to your selected plan
  • All fees are non-refundable unless required by law
  • We may change pricing with 30 days’ written notice
  • You are responsible for all applicable taxes

Usage above plan limits, add-ons, and overages will be billed pursuant to the then-current rates or your order. Amounts are due upon receipt unless otherwise stated. Late amounts may accrue interest at 1.5% per month (or the maximum permitted by law), plus collection costs.

6.2 Payment Methods

  • We accept major credit cards and other approved payment methods
  • Payment is due in advance for subscription services
  • Failed payments may result in service suspension

6.3 No Offsets; Trials

Amounts due may not be withheld, reduced, or set off. Any free trial is provided “AS IS” and may be terminated at any time.

7. Service Availability

7.1 Uptime and Maintenance

  • We strive for high service availability but do not guarantee 100% uptime
  • We may perform scheduled maintenance with reasonable notice
  • We are not liable for service interruptions

7.2 Data Accuracy

  • We provide data “as is” without warranties
  • We do not guarantee the accuracy, completeness, or timeliness of data
  • You use data at your own risk

You acknowledge market data is volatile, may be delayed or incomplete, and may be sourced from third parties. See the Financial Disclaimer for more details.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For GDPR purposes, MKTS DATA LLC is the data controller unless otherwise stated.

9. Limitation of Liability

9.1 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MKTS DATA LLC d/b/a TickersData SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9.3 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

9.4 Exclusions

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless MKTS DATA LLC d/b/a TickersData and its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any third-party rights

11. Termination

11.1 Termination by You

  • You may terminate your account at any time
  • Termination does not relieve you of payment obligations

11.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay required fees
  • Pose a security risk

Upon termination, your license and access cease; sections intended to survive (including Fees, IP, Privacy, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will survive.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

12.2 Dispute Resolution Process

  • First, contact us to attempt informal resolution within 30 days
  • If informal resolution fails, disputes will be resolved through binding arbitration
  • Arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • Venue for arbitration shall be Delaware, and the language shall be English
  • Each party bears its own costs and attorneys’ fees, except as the arbitrator may award under applicable law

You and we waive any right to a jury trial or to participate in a class or representative action. To the extent permitted by law, claims must be brought on an individual basis.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Financial Disclaimer, any order forms, and documentation, constitute the entire agreement between you and MKTS DATA LLC d/b/a TickersData.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets.

13.5 Export and Sanctions

You represent you are not located in, under control of, or a national or resident of any embargoed country or prohibited party list, and you will comply with applicable export control and sanctions laws.

13.5 Updates to Terms

We may update these Terms at any time. Continued use of our services after changes constitutes acceptance of the updated Terms.
